Al-Mouwasat was established as a limited liability company with commercial registration number 2050032029, dated 12 Ramadan 1417H (corresponding to 22 January 1997G) and a share capital of SAR 3,550,000. The Company is engaged in ownership, management, operation and maintenance of hospitals, medical centers, medicine warehouses and pharmacies.

On 24 Thul Quada 1425H (corresponding to 5 January 2005G), the shareholders resolved to increase the share capital of the Company to SAR 147,000,000 through transferring the balance of SAR 143,450,000 from retained earnings, statutory reserve and current accounts to share capital. The resolution was attested from the Ministry of Commerce and Industry and from the Notary Public on 24 Thul Quada 1425H (corresponding to 5 January 2005G).

The Company was converted from a limited liability into a joint stock company in accordance with the Resolution of the Minister of Commerce and Industry Number 1880 dated 4 Dhul Hijjah 1426H (corresponding to 4 January 2006G) with a share capital of SAR 147,000,000 divided into 2,940,000 shares with a nominal of SAR 50 per share.

Pursuant to the resolution of the Extraordinary General Assembly convened on 23 Muharram 1427H (corresponding to 22 February 2006G) [25 Rabi Athani 1427H (corresponding to 23 May 2006G)], the capital of the Company was increased from SAR 147,000,000 to SAR 250,000,000 divided into 25,000,000 shares fully paid with a nominal value of SAR 10 per share. This increase was financed by transferring SAR 103,000,000 from retained earnings and SAR 92,993,474 from statutory reserve to share capital account.
